Terms of Service

This page is maintained by Blackhawk Software, LLC to set expectations for clients and visitors. It is not legal advice, a certification, or a guarantee of any specific outcome. If you have questions about these terms, contact us before subscribing or signing a statement of work.
1. Agreement to terms
By accessing our website, booking a call, or subscribing to our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. These terms apply to all visitors, clients, and users.
2. Services
Blackhawk Software provides software development services, including but not limited to SaaS MVP development, mobile app MVP development, ongoing maintenance, feature development, UI design, and prototyping. Specific deliverables, timelines, and scope are agreed in writing via email, a statement of work, or a shared project plan.
3. Subscription and payment
Services are billed on a recurring monthly basis unless otherwise agreed. Current plans include MVP Build at $14,995 per month, Maintain at $4,995 per month, and Maintain Pro at $7,495 per month. Fees are due in advance and are non-refundable unless otherwise agreed in writing or required by law.
We use Stripe to process payments. By subscribing, you authorize us to charge your payment method on a recurring basis until the subscription is cancelled.
4. Cancellation and pausing
You may pause or cancel your subscription by providing reasonable written notice. We will continue work through the end of the current billing period unless otherwise agreed. Paused subscriptions may resume subject to availability and current pricing.
5. Intellectual property
Client-owned materials, designs, data, and ideas remain your property. Upon full payment, you own the deliverables created specifically for you under the agreed scope, including code, designs, and documentation. We retain the right to use general knowledge, experience, and non-proprietary techniques gained during the engagement.
6. Client responsibilities
You agree to provide timely access, feedback, and materials needed for us to perform the services. Delays caused by incomplete information, slow feedback, or unavailable dependencies may extend timelines. You are responsible for the accuracy and legality of any content, data, or requirements you provide.
7. Confidentiality
We treat information you share with us as confidential and use it only to provide the agreed services. We do not disclose confidential information to third parties except as needed to perform the work or as required by law. You agree not to share our proprietary methods, pricing, or internal processes without permission.
8. Limitation of liability
To the fullest extent permitted by law, Blackhawk Software's total liability arising out of or relating to these terms or our services is limited to the amount you paid us in the twelve months preceding the event giving rise to liability. We are not liable for indirect, incidental, consequential, or punitive damages.
9. Indemnification
You agree to indemnify and hold harmless Blackhawk Software, LLC and its members from any claims, damages, or expenses arising out of your use of our services, your materials, or your violation of these terms.
10. Governing law
These Terms of Service are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these terms will be resolved in the state or federal courts located in Delaware.
11. Changes to these terms
We may update these Terms of Service from time to time. The updated version will be posted on this page with a revised effective date. Continued use of our services after changes means you accept the updated terms.
